1. Applicability
These terms apply to all quotes, engagements and agreements of Optivate AI (CoC 94773920), based in Groningen, the Netherlands. Deviations only apply when agreed in writing.
2. Quotes and engagements
Quotes are valid for 30 days. An engagement is established once the quote is accepted in writing (or by email) by the client.
3. Performance
Optivate AI performs each engagement to the best of its ability on a best-efforts basis. Deadlines are indicative unless explicitly stated as fatal.
4. Rates and payment
Rates are exclusive of VAT. Invoices are sent monthly in advance with a 14-day payment term. Late payment incurs statutory commercial interest and collection costs.
5. Intellectual property
All systems, scripts and documentation developed by Optivate AI remain its property until full payment. After that, the client receives a usage license for internal business operations.
6. Liability
Optivate AI's liability is limited to the amount paid out by its liability insurance, or, if no payment is made, to a maximum of the amount invoiced in the three months preceding the damage. Liability for indirect damage is excluded.
7. Confidentiality
Both parties are obliged to keep confidential all confidential information they receive in the context of the engagement.
8. Governing law
All agreements are governed by Dutch law. Disputes are submitted to the competent court in the North Netherlands district.
